1. About These Terms

These Terms & Conditions ("Terms") govern your access to and use of the Sphike mobile application, website and related services (together, the "Sphike Platform").

Sphike is a UK construction marketplace and introduction service designed to connect customers with contractors based on factors including the requirements of a job, location, contractor availability and estimated pricing.

("Sphike", "we", "us" or "our").

By creating an account or using the Sphike Platform, you agree to these Terms.

If you do not agree to these Terms, you must not use Sphike.


2. Age Requirement

You must be 18 years of age or older to create an account or use Sphike.

By creating an account, you confirm that you are at least 18 years old.

If you create an account or use Sphike on behalf of a company, partnership or other organisation, you also confirm that you have authority to act on behalf of that organisation.


3. What Sphike Does

Sphike provides a digital marketplace and introduction service through which customers can identify and connect with contractors who may be able to fulfil construction-related requirements.

These requirements may include:

  • Construction waste removal;

  • Muckaway;

  • Grab hire;

  • Aggregates and material supply;

  • Plant and equipment;

  • Haulage;

  • Groundworks;

  • Construction services;

  • Contractor availability;

  • Spare operational capacity; and

  • Other construction-related services.

Customers can provide information about a job or requirement.

Contractors may provide information concerning their services, availability and estimated pricing.

Sphike may use this information to identify and introduce potentially suitable contractors to customers.

Sphike's role is to facilitate the introduction between the customer and contractor.

The customer and contractor are responsible for deciding whether to proceed with each other and for agreeing any contract for the underlying work directly between themselves outside Sphike.


4. Sphike Is an Introduction Service

Unless expressly stated otherwise, Sphike does not itself provide construction services, waste removal, materials, aggregates, plant, equipment, haulage, labour or other services advertised or discussed through the Platform.

Contractors using Sphike operate independently from Sphike.

A contractor does not become an employee, worker, agent or representative of Sphike merely because they use the Platform.

Sphike may facilitate introductions based on information including:

  • Type of work required;

  • Location;

  • Contractor service area;

  • Contractor availability;

  • Contractor capabilities;

  • Estimated pricing; and

  • Other relevant marketplace information.

An introduction or match through Sphike does not constitute a guarantee, warranty or endorsement of a particular contractor or customer.

Users remain responsible for deciding whether another user is suitable for their requirements.


5. Contracts Are Between Customers and Contractors

Sphike is not a party to the contract for construction or other services entered into between a customer and contractor.

Any contract relating to services, materials, plant, equipment, waste removal, haulage or other work is agreed directly between the customer and contractor outside the Sphike Platform.

The customer and contractor are responsible for agreeing the final terms of their contract.

These may include:

  • Final scope of work;

  • Final price;

  • VAT;

  • Specifications;

  • Materials;

  • Start and completion dates;

  • Delivery or collection arrangements;

  • Site access;

  • Payment terms;

  • Deposits;

  • Cancellation terms;

  • Refund arrangements;

  • Insurance requirements;

  • Warranties;

  • Waste documentation;

  • Health and safety requirements; and

  • Any other contractual conditions.

Sphike does not currently negotiate, conclude or administer the underlying contract on behalf of either party.


6. Consumers

Sphike may be used by both businesses and individual consumers.

If you are an individual using Sphike wholly or mainly outside your trade, business, craft or profession, you may be a consumer for the purposes of UK consumer law.

Sphike provides an introduction service to the consumer.

Where a consumer subsequently engages a contractor, the contract for the underlying construction or related services is entered into directly between the consumer and contractor outside Sphike.

The contractor is responsible for complying with applicable consumer law in relation to the goods or services supplied by that contractor.

Nothing in these Terms excludes or restricts any statutory rights that cannot legally be excluded or restricted.


7. Contractor Estimates

Contractors may provide estimated prices through Sphike to help customers identify potentially suitable contractors.

Prices displayed or communicated through Sphike are estimates only unless expressly stated otherwise.

An estimate provided through Sphike does not necessarily represent the final contract price.

The final price may change following matters including:

  • A site inspection;

  • Further information from the customer;

  • Changes to the scope of work;

  • Quantities;

  • Access conditions;

  • Waste type or classification;

  • Material requirements;

  • Delivery requirements;

  • Plant requirements;

  • Unforeseen site conditions; or

  • Other matters subsequently identified by the contractor.

The customer and contractor are responsible for agreeing the final price directly with each other before entering into their contract.

Sphike does not currently determine, receive or verify the final amount agreed or ultimately paid between a customer and contractor.

Customers should ensure they understand the contractor's final quotation, scope of work and contractual terms before instructing work to proceed.


8. Payments

Sphike does not currently process payments between customers and contractors.

Payment for work resulting from a Sphike introduction is made directly between the customer and contractor according to the terms agreed between them.

Sphike does not currently:

  • Collect customer payments on behalf of contractors;

  • Collect deposits on behalf of contractors;

  • Hold customer funds;

  • Operate an escrow service;

  • Pay contractors;

  • Determine payment schedules;

  • Process payments for the underlying work; or

  • Administer refunds relating to contracts between customers and contractors.

Customers should take reasonable steps to ensure that payment requests and payment details received from contractors are genuine before transferring funds.

Any payment dispute concerning the underlying work is a matter between the customer and contractor, subject to their respective contractual and statutory rights.

If Sphike introduces payment functionality in the future, these Terms and any applicable payment terms will be updated accordingly.


9. Sphike Is Currently Free

Sphike is currently provided to users free of charge.

There is currently no subscription fee for ordinary use of the Sphike Platform.

Sphike may introduce paid features, subscriptions, premium services or other charges in the future.

If paid services are introduced, the applicable price, billing frequency, included features, renewal arrangements, cancellation process and other material payment terms will be made clear before a user purchases or subscribes to the relevant service.

Sphike will not impose a new recurring subscription charge on an existing user without providing appropriate information and obtaining any agreement required by applicable law.


10. User Accounts

Some Sphike features require a user account.

You must provide accurate and current information when creating and maintaining your account.

You are responsible for maintaining accurate account information, keeping your login credentials secure, activity undertaken through your account and informing Sphike promptly if you suspect unauthorised access.

You must not create an account using deliberately false information, impersonate another person or business, misrepresent your qualifications, licences or experience, or permit another person to misuse your account.

Sphike may carry out reasonable checks intended to verify users or businesses.


11. Contractor Information and Verification

Contractors are responsible for ensuring information supplied to Sphike is accurate and current.

Depending upon the services offered, relevant information may include business name, company registration details, VAT information, contact information, service areas, insurance information, waste carrier registration, operator licence information, relevant licences, qualifications and certifications.

Sphike may request evidence supporting information provided by a contractor.

However, any checks or verification undertaken by Sphike do not remove the customer's responsibility to make appropriate checks before appointing a contractor.

Unless expressly stated otherwise, verification does not constitute a guarantee or warranty by Sphike concerning a contractor's competence, financial standing, quality of work or suitability for a particular job.


12. Customer Responsibilities

Customers must provide information about their job or requirement that is accurate to the best of their knowledge.

Customers should disclose information reasonably relevant to a contractor's ability to estimate or perform the work, including location, site access, type of work, quantities, waste type, material requirements, plant requirements, timing, access restrictions and known site conditions.

Incorrect, incomplete or misleading information may result in an inaccurate estimate or a contractor being unable to perform the work.

Before appointing a contractor, customers should carry out checks appropriate to the nature of the work.


13. Contractor Responsibilities

Contractors must ensure they are legally entitled, appropriately qualified and suitably equipped to offer the services they advertise through Sphike.

Contractors are responsible for the accuracy of information and estimates they provide, communicating assumptions affecting estimates, agreeing final prices directly with customers, performing agreed work, maintaining appropriate licences, registrations and insurance, tax and VAT obligations, health and safety, environmental compliance, employment and subcontracting obligations, waste compliance and compliance with applicable consumer law.

Contractors must not knowingly provide false or misleading information through Sphike.


14. Construction Waste

Where work involves controlled waste, customers and contractors are responsible for complying with their respective obligations under applicable waste and environmental legislation.

Depending upon the transaction, requirements may include waste classification, waste carrier registration, duty of care, waste transfer documentation, lawful transportation, use of appropriately authorised disposal or recovery facilities and required record keeping.

Sphike must not be used to arrange unlawful dumping, transportation, storage or disposal of waste.


15. Plant and Equipment

Where an introduction relates to plant, machinery or equipment, the relevant customer and contractor or supplier are responsible for agreeing the terms upon which it is supplied.

These may include hire period, delivery, collection, operator provision, fuel, damage, breakdown, insurance, security, inspection, certification and responsibility while equipment is being used or hired.

The provider is responsible for ensuring that plant or equipment is legally permitted to be supplied, appropriately maintained and suitable for its intended use.


16. Spare Capacity and Availability

Contractors may provide information through Sphike concerning spare or available capacity, including vehicles, plant, machinery, equipment, personnel, transport, delivery capability and other construction resources.

Availability information reflects information available at the relevant time and does not guarantee that a contractor or resource will remain available.

Contractors should keep availability information reasonably current.


17. Marketplace Matching

Sphike may use information supplied by customers and contractors to identify potentially relevant matches.

Matching may take account of factors such as job type, services offered, geographic location, availability, estimated pricing and other relevant marketplace information.

A match is intended to identify a potentially relevant contractor.

It does not constitute professional advice, a guarantee that the contractor is suitable, or a guarantee that the contractor represents the lowest available price.

Customers remain responsible for deciding whether to contact, obtain further information from or appoint a contractor.


18. Cancellations, Refunds and Returns

Because the underlying contract is agreed directly between the customer and contractor outside Sphike, cancellation, refund and return arrangements relating to that contract are matters between those parties and are subject to applicable law.

Sphike does not currently receive or process payments for the underlying services and therefore does not normally issue refunds relating to contractor services.

Where a customer is a consumer, statutory cancellation, refund, repeat-performance, price-reduction or other rights may apply depending upon the circumstances.

Nothing in these Terms limits mandatory consumer rights.

19. User Communications

Users must use Sphike communication functionality responsibly.

You must not use Sphike to send spam, fraudulent communications, threatening or abusive communications, unlawful marketing, malicious software, deliberately misleading offers or content unrelated to legitimate marketplace activity.

Sphike may take appropriate action where communications breach these Terms or applicable law.


20. Reviews and Ratings

Where Sphike provides reviews, ratings or other feedback functionality, users must ensure contributions relate to a genuine experience, are honest and relevant, do not contain information known to be false, are not defamatory, threatening, discriminatory or abusive, do not infringe another person's rights and are not manipulated in exchange for undisclosed incentives.

Sphike may moderate, restrict or remove content that breaches these Terms or applicable law.

The opinions expressed in user reviews belong to the relevant users and do not necessarily represent the views of Sphike.


21. Prohibited Uses

You must not use Sphike for unlawful activity, fraudulently, to misrepresent your identity, qualifications or business, to arrange unlawful waste disposal, to advertise stolen goods or equipment, to infringe intellectual property rights, distribute malicious software, scrape or systematically extract Platform data without authorisation, interfere with Sphike's operation or security, manipulate marketplace functionality, estimates, ratings or reviews, harass another user, discriminate unlawfully, or in any manner that could reasonably harm Sphike or its users.


22. User Content

You retain ownership of content you submit to Sphike.

By uploading, submitting or publishing content, you grant Sphike a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and otherwise use that content to the extent reasonably necessary to operate, secure, develop and promote the Sphike Platform.

You confirm that you have the necessary rights and permissions to provide the content to Sphike.


23. Intellectual Property

The Sphike name, branding, software, design, databases, graphics and other proprietary Platform materials are owned by or licensed to Sphike and protected by applicable intellectual property law.

Except where permitted by law or expressly authorised by us, you may not copy, modify, distribute, sell, licence, reverse engineer, create derivative works from or commercially exploit the Sphike Platform or its proprietary content.


24. Third-Party Services

Sphike may use or integrate third-party technology and services.

Third-party services may be subject to their own terms and privacy policies.

Sphike is not responsible for an independent third party's service merely because that service is accessible through, integrated with or used in connection with the Platform.

Our use of third-party services and processing of personal information is explained further in the Sphike Privacy Policy.


25. Platform Availability

We aim to provide a reliable Platform but cannot guarantee uninterrupted or error-free availability.

Sphike may occasionally be unavailable because of maintenance, updates, technical faults, security incidents, third-party service failures or circumstances outside our reasonable control.

We may modify Platform functionality as Sphike develops.


26. Marketplace Risk

Sphike facilitates introductions between independent users.

Users remain responsible for deciding whether to deal with another user.

Depending upon the work involved, appropriate checks may include identity, experience, qualifications, insurance, licences, waste carrier registration, operator licences, certifications, references and suitability for the particular work.

Sphike does not guarantee the quality, safety, legality or successful completion of work undertaken following an introduction.

Nothing in this section removes any responsibility Sphike itself has under applicable law for operation of the Sphike Platform.


27. Disputes Between Customers and Contractors

Because Sphike is not a party to the underlying contract, customers and contractors should initially attempt to resolve disputes concerning work, price, payment, cancellation or performance directly with each other.

Sphike may, at its discretion and where appropriate, provide reasonable assistance concerning information held within the Platform.

Sphike may also investigate conduct that potentially breaches these Terms and take appropriate action concerning a user's access to Sphike.

However, unless required by law, Sphike is not responsible for determining contractual disputes between customers and contractors.

Nothing in this section prevents either party from exercising any contractual or statutory rights available to them.


28. Our Responsibility to You

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.

Sphike is responsible for providing its own Platform and introduction service with the level of care required by applicable law.

Sphike is not the contractor carrying out the underlying construction or related work.

Accordingly, merely providing an introduction does not make Sphike responsible for the acts or omissions of an independent contractor or customer.

For business users, and to the fullest extent permitted by law, Sphike will not be liable for indirect or consequential losses, loss of profits, loss of business, loss of opportunity, loss of anticipated savings or loss of goodwill arising from use of the Platform.

Nothing in this section affects statutory rights that cannot legally be limited or excluded.


29. Account Deletion

A user with no active job orders may request deletion of their Sphike account.

Where an active job order exists, account deletion may be delayed until that order has been completed, cancelled or otherwise resolved.

Once an eligible deletion request is confirmed, the account will be soft-deleted immediately and will no longer be available for normal use.

Personal information associated with a soft-deleted account will normally be retained securely for up to two years from the date of account deletion and then permanently deleted or irreversibly anonymised, except where particular information must lawfully be retained for longer.

Information retained following account deletion will not be used for ordinary marketplace activity or direct marketing.

The processing and retention of personal information following account deletion is explained in greater detail in the Sphike Privacy Policy.

A request to exercise a statutory data-protection right, including a right to erasure where applicable, will be considered in accordance with applicable data-protection law and is not automatically subject to the standard two-year retention period.


30. Suspension and Termination

We may suspend, restrict or terminate access where we reasonably believe that these Terms have been materially breached, fraudulent activity has occurred, a user creates a safety or security risk, Sphike is being misused, continued access creates material legal or regulatory risk, or we are required to do so by law.

Where appropriate and reasonably practicable, we may provide notice or an opportunity to remedy a breach.


31. Privacy

Our processing of personal information is explained in the Sphike Privacy Policy.

This includes information concerning Sphike's use of precise GPS location, Amazon Web Services (AWS), Google APIs and Firebase notifications.

Acceptance of these Terms does not constitute consent to optional marketing or other processing that legally requires separate consent.


32. Future Changes to Sphike's Business Model

Sphike is currently a free introduction service and does not process payments between customers and contractors.

The Platform may develop over time.

Future functionality may include paid subscriptions, premium services, additional marketplace functionality, enhanced contractor features or payment-related services.

Where a material change affects users' contractual rights or obligations, Sphike will update these Terms and provide any notice or obtain any agreement required by applicable law.

Users will not become liable for a recurring subscription merely because Sphike introduces a subscription service in the future.


33. Changes to These Terms

We may update these Terms where reasonably necessary to reflect new Platform features, changes to Sphike's business model, legal or regulatory requirements, security requirements or changes to how the Platform operates.

Where a change materially affects existing users, we will provide reasonable notice where required.

The latest version of these Terms will display the date on which they were last updated.


34. General

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

Our failure to enforce a provision immediately does not waive our right to enforce it later.

You may not transfer your rights under these Terms without our consent where doing so would materially affect our rights or obligations.

Sphike may transfer its rights and obligations as part of a genuine corporate restructuring, financing or sale of the business, provided doing so does not reduce any mandatory consumer rights.


35. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

If you are a business user, the courts of England and Wales will have exclusive jurisdiction, unless otherwise required by law.

If you are a consumer, this provision does not deprive you of any mandatory rights concerning applicable law or the courts available to you.
